IP Insights : Valuation of Intellectual Property & Intangible Assets : Your Goodwill

IP (patents, trademarks, copyright and design right) is capable of separate identification and valuation. As one of the most important advances in wealth creation, this fact magnifies risk and liability assessment.  In most acquisitions, IP (and supporting intangible assets) is likely to account for a large proportion of consideration.  Every business has intellectual property rights, even if they are only in the name under which it trades.  Just as importantly, every business uses other people’s intellectual property.  More often than not, the questions to be answered are:

- What is goodwill and what are the intellectual property rights used in the business?
- How do you account for them?
- What is their value?
- How can it be transferred and exploited?

There are many situations that demand opinion from expert IP valuers for tax planning, forensic and related work in reporting these assets. You may be considering licensing your rights, lending and credit risk, a sale or purchase of the company or asset, assessing damages following infringement or for a variety of other reasons.  These assets can be transferred to low tax jurisdictions and valuation for tax purposes will often be required.  Licensing and advice about royalty rates is a key tool for exploitation. 

Until the introduction of the new international accounting standards a company’s published accounts were prepared for many good reasons but not for representing worth and value.  Management and institutions obviously need to know the legal nature and the value of what might be the most significant assets in the Company and business managers need to know, or should know, the value and financial opportunities of all assets under their stewardship and control.

Our speaker will talk about IP from a valuation perspective and offer practical insights on how you may monetise your IP assets.

Franchising is increasingly becoming the preferred business format for expansion. In October 2013, Minister Teo Ser Luck stated that Singapore now has 600 franchise systems with around 40,000 franchisee. Franchising accounts for 18% of Domestic Retail Sales and GDP contribution of franchising is expected to increase from 1.6% to 3 % by 2017.

In line with building a high value IP Ecosystem and assisting businesses to build Intellectual Property capabilities, this course aims to enable participants to understand the impact of Singapore’s legal framework on franchising, the basic franchise mechanisms, identifying a company’s key IP assets and its financial significance as well as how these IP assets are exploited within a franchise network.

About the workshop

Whether one is seller, buyer, licensor, licensee, lender or borrower it is critical to understand the drivers of IP value. Because market value is the keystone in all of these transactions.

Intellectual property is uniquely different from any other type of property. What factors enhance value? What elements detract from value?

 

This seminar will first provide an overview of valuation principles and methods. Primary focus will be on the income method because its ingredients are key to IP valuation:

·       Future economic benefit - identifying it - quantifying it

·       Pattern & timing of economic benefit - forecasting it

The Intellectual Property Office of Singapore (IPOS) and the World Intellectual Property Organization (WIPO) signed a Memorandum of Understanding (MoU) on the sidelines of the General Assembly of WIPO in September 2011.  Under this MoU, IPOS and WIPO have collaborated to establish a joint dispute resolution procedure that facilitates the mediation of intellectual property disputes.

Since the launch of this new mediation option at IPOS, there has been some success and much interest on how mediation can help parties reach win-win solutions in an increasingly complex and transnational business environment.

Trade Secrets, Trademarks & Business Information Protection

IP practice tends to focus on patents and copyright. While both are important, other IP rights have become no less central within the modern context of technology and commerce in conferring a competitive advantage for their owners. Perhaps the most important of these rights are trademarks, trade secrets and business information. Whether formulating company strategy or dealing with the challenges of day-by-day management, no company can afford to ignore the potential of these rights as valuable company assets.  

Thus, it is becoming increasing recognized that a company’s goodwill and reputation, as protected by a trademark, may constitute the company’s ultimate IP asset. As for trade secrets, more technology and valuable information is likely being protected and commercialized as trade secrets than either as patents or copyright. However, the commercial and managerial implications of this are too often unappreciated. Business information, especially in the on-line and digital world, has become a major driver of competitive advantage.  With that has come an increased concern with finding the best ways to both protect and exploit such information.

It is clear--each of these rights merits serious attention. To meet this need, this day-long course will address the legal aspects of each of these rights and address how they can be used within the strategic and managerial context of an enterprise to enhance its competitive advantage.

However, it is a major undertaking and companies would have to carefully consider the value of the asset, form of actions possible, costs and risk involved. This programme will cover the common types of legal actions from letters of demand to litigation. Alternative measures of reaching agreement with the other parties will also be discussed. Complications that can arise in enforcement overseas should also be considered, as well as the likely response from the supposed infringer. On the flip side, how should companies deal with an accusation of infringement against them?

Part 1: Keeping Track of IP

The importance of keeping proper documentation of the IP assets that an organisation has must not be neglected.

In this module, participants will be introduced to the importance of documentation as well as the methods of documenting IP.

As businesses become more competitive, products can seem less diversified. This module also discusses on the importance for organisations to be more aware of their own IP assets as well as the IP assets of their competitors and the steps it can take to identify and report IP infringements in accordance with organizational procedures.

Part 2: Keeping Track of Trade Marks and Other Idenfifers

In this practice based session, participants will be provided with a demonstration of a sample trade marks database showing how trade marks are managed.

Participants will then have to show how they are able to do searches. Trade mark perspectives on internet matters will also be discussed.

Part 3: Keeping Track of Patents

Similarly to Module 5a, this practice based session teaches participant about the aspects of patent search and watch. Basic methods will be provided followed by an actual case study.

Part 4: Keeping Track of Copyright and Internet Aspects

Participants will be introduced on the importance of keeping records of the creation of copyright work as well as the issues involved, especially in the software/IT domain. This will be reinforced by a practical discussion of a case study.

Participants are required to bring their laptops.

Further to this, aspects of IP will be introduced and participants will learn to identify issues such as licensing.
